1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website, communications, buyer network, and services provided by DispoHouse ("DispoHouse," "we," "us," or "our"). By accessing our website, submitting a form, or receiving any deal-related communication from DispoHouse, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Nature of Services

DispoHouse is a real estate disposition company. We assist in connecting buyers, investors, agents, and deal partners with off-market real estate opportunities originated through our own acquisition pipeline and through our strategic acquisition partner, Alexta Homes.

DispoHouse is not a real estate brokerage, mortgage broker, lender, attorney, tax advisor, appraiser, contractor, or financial planner. Nothing on this website or in any communication from us should be construed as legal, tax, accounting, financial, or investment advice. You are solely responsible for engaging qualified professionals as needed.

3. Buyer Network and Deal Information

• Membership in the DispoHouse buyer network is at our discretion and may be modified, suspended, or terminated at any time.
• Any property information, pricing, estimated repair costs, ARV figures, rental projections, hold-cost assumptions, and returns are provided for informational purposes only, are not guaranteed, and are subject to change without notice.
• You are responsible for performing your own independent due diligence — including inspections, title review, market analysis, occupancy verification, and verification of all numbers — before making any offer or entering any contract.
• Access to a property, if provided, is subject to seller/occupant approval and any applicable legal restrictions. DispoHouse does not guarantee access, occupancy status, condition, or the accuracy of any third-party information.

4. Contracts and Assignments

Where DispoHouse or an affiliated entity holds an equitable interest in a property (for example, under a purchase and sale agreement subject to inspection or an assignment right), DispoHouse may market that interest to network buyers. The marketing of contractual interests is not the marketing of the underlying real property in a brokerage capacity. Any purchase, assignment, or double-close transaction is governed by separately executed contracts between the applicable parties.

5. User Conduct

You agree not to:

• Provide false, misleading, or fraudulent information about your identity, funding, intent, or ability to close;
• Circumvent DispoHouse to contact sellers, occupants, listing agents, or acquisition partners regarding a specific opportunity introduced through us;
• Redistribute, republish, blast, syndicate, or share deal information provided by DispoHouse to unauthorized third parties;
• Use the website or our communications for unlawful, harassing, or abusive purposes;
• Attempt to disrupt, reverse engineer, or gain unauthorized access to any portion of the website or our systems.

Violation of these rules may result in immediate removal from the buyer network, forfeiture of any earnest money in accordance with the applicable contract, and legal action for any resulting damages.

6. Earnest Money and Non-Refundable Deposits

Certain opportunities may require non-refundable earnest money deposits after expiration of any inspection or due-diligence period specified in the contract. The specific deposit terms for each transaction are set forth in the executed purchase agreement, which controls in the event of any inconsistency with the website or marketing materials.

7. Intellectual Property

All content on the website, including text, graphics, logos, images, layouts, and the DispoHouse and Alexta Homes brands, is owned by DispoHouse or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without prior written consent.

8. Third-Party Links and Partners

Our website and communications may reference or link to third parties, including Alexta Homes, lenders, title companies, and service providers. We are not responsible for the content, offerings, or conduct of any third party.

9. Disclaimers

The website and all information provided by DispoHouse are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness. 10. Limitation of Liability

To the fullest extent permitted by law, DispoHouse, its owners, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost opportunities, or diminished property value, arising out of or related to your use of the website, the buyer network, any deal information, or any transaction, whether based in contract, tort, statute, or otherwise. Our total aggregate liability arising out of or related to these Terms shall not exceed one hundred dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless DispoHouse and its affiliates, owners, employees, and agents from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the website or services, (b) your breach of these Terms, (c) any transaction you enter into with a seller, buyer, or other party introduced through DispoHouse, or (d) your violation of any law or third-party right.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the services shall be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to personal jurisdiction and venue in those courts.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the website after changes take effect constitutes acceptance of the updated Terms.
